These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Techarion Private Limited ("Techarion," "we," "us," or "our"), a company registered in India, with its registered office at 101, Anagha Prime, Guttala Begumpet, Kavuri Hills, Jubilee Hills, Hyderabad, Telangana 500033.

By accessing or using our website at techarion.com, its subdomains, or any of our products and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

Techarion provides the following products and services:

a. SaaS Products

• Arion Signage CRM: A cloud-based digital signage management and customer relationship management platform for managing digital signage networks, content scheduling, and client billing.
• Arion E-Com: An e-commerce platform enabling businesses to set up and manage online stores, process orders, and handle inventory.
• SnapView: A media and content viewing platform.
• QR Solutions (QROnline): A QR code generation and management platform for businesses.
• ValetPark: A valet parking management solution.
• Media Storage: A cloud-based media asset storage and management platform.

b. Advertising and Marketing Services

• DOOH Advertising: Digital Out-of-Home advertising services across retail, corporate, and public spaces.
• Cinema Hall Advertising: Advertising solutions within cinema halls and entertainment venues.
• Digital Marketing: Comprehensive digital marketing services including SEO, social media management, and content marketing.
• Google Ads Management: Campaign creation, optimization, and management of Google Ads campaigns on behalf of clients.
• Product Photography: Professional product photography services for e-commerce and marketing purposes.

c. Consulting and Development Services

• AI Consulting: Artificial intelligence strategy and implementation consulting for enterprises.
• N8N Consulting: Workflow automation consulting and implementation using N8N and similar platforms.
• Software Development: Custom web, mobile (iOS/Android), and progressive web application development.
• UI/UX Design: User interface and user experience design services.
• DevOps Management: Infrastructure management, CI/CD pipeline setup, and cloud deployment services.

To access certain features and SaaS products, you may be required to create an account. When registering, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials (username and password).
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or fraudulent.

By using our services, you agree to the following:

• You will use our services only for lawful purposes and in accordance with these Terms.
• You will not use our services to transmit, distribute, or store material that is illegal, harmful, threatening, defamatory, obscene, or otherwise objectionable.
• You will not attempt to gain unauthorized access to any part of our services, systems, or networks.
• You will not interfere with or disrupt the integrity or performance of our services.
• You will not use automated scripts, bots, or scrapers to access our services without our express written permission.
• You will not reverse-engineer, decompile, or disassemble any aspect of our software or services.
• You will not upload or transmit viruses, malware, or any other malicious code.
• You will comply with all applicable local, state, national, and international laws and regulations.

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in the Privacy Policy.

Data Usage Responsibilities

• You are responsible for any data you upload, submit, or transmit through our services.
• You represent and warrant that you have all necessary rights and permissions to use and share such data.
• For clients using our Google Ads management services, you authorize us to access and manage your Google Ads account data solely for the purpose of campaign management and optimization.
• You agree not to upload any personally identifiable information (PII) or sensitive data through our services unless such functionality is explicitly provided and secured.

For clients utilizing our Google Ads management services, the following additional terms apply:

• We access and use the Google Ads API in compliance with the Google Ads API Terms of Service and the Google API Services User Data Policy.
• We will manage your Google Ads campaigns, create ad groups, configure targeting, set budgets, and optimize performance based on your objectives and instructions.
• Access to your Google Ads data is limited to authorized personnel within our organization who require such access for campaign management purposes.
• We will not use your Google Ads data for any purpose other than providing the services you have engaged us for.
• We will not sell, lease, or provide your Google Ads data to any third party.
• Upon termination of our services, we will cease accessing your Google Ads account and delete any locally stored campaign data within 30 days, unless retention is required by law.
• You retain ownership of your Google Ads account and all associated data at all times.

All content, features, and functionality on our website and within our products — including but not limited to text, graphics, logos, icons, images, audio clips, software, and code — are the exclusive property of Techarion Private Limited or its licensors and are protected by Indian and international copyright, trademark, patent, and other intellectual property laws.

• You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any of our intellectual property without our prior written consent.
• For custom development projects, intellectual property ownership will be governed by the specific agreement or statement of work signed between you and Techarion.
• Any feedback, suggestions, or ideas you provide to us regarding our services may be used by us without any obligation to compensate you.

For paid services and SaaS subscriptions:

• Pricing: All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are exclusive of applicable taxes (GST) unless stated otherwise.
• Payment: Payments for SaaS subscriptions are due in advance of the subscription period. Payments for project-based services are due as per the milestones defined in the respective agreement or proposal.
• Late Payments: Payments not received within 15 days of the due date may be subject to a late fee of 1.5% per month on the outstanding amount.
• Taxes: You are responsible for all applicable taxes associated with your purchase of our services, including GST as applicable under Indian law.

a. SaaS Subscriptions

• Monthly subscriptions may be cancelled at any time before the next billing cycle. No refunds will be issued for the current billing period.
• Annual subscriptions may be cancelled within 14 days of purchase for a full refund, provided no significant usage of the service has occurred. After 14 days, no refunds will be issued, but the service will remain active until the end of the subscription period.

b. Project-Based Services

• Refunds for project-based services (development, design, consulting) will be evaluated on a case-by-case basis based on the work completed and deliverables provided.
• If you wish to cancel a project in progress, you will be billed for all work completed up to the point of cancellation.

c. Advertising Services

• Advertising management fees are non-refundable once the campaign has been set up and launched.
• Any unused advertising budget (media spend) that has not been committed to ad platforms may be refunded upon request.

We strive to maintain high availability and uptime for all our services. However, we do not guarantee uninterrupted or error-free service. Our services may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security patches
• Force majeure events beyond our reasonable control
• Third-party service outages (hosting providers, payment processors, etc.)

To the maximum extent permitted by applicable law:

• Techarion shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services.
• Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the amount paid by you to Techarion during the 12 months immediately preceding the event giving rise to the claim.
• We are not liable for any losses resulting from unauthorized access to your account caused by your failure to maintain the confidentiality of your login credentials.

You agree to indemnify, defend, and hold harmless Techarion Private Limited, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content or data you submit or transmit through our services.

• We may terminate or suspend your access to our services immediately, without prior notice or liability, if you breach any provision of these Terms.
• You may terminate your account at any time by contacting us at info@techarion.com.
• Upon termination, your right to use our services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve any disputes through good-faith negotiation for a period of at least 30 days after written notice of the dispute.

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. If we make material changes, we will provide notice through our website or by email to registered users. Your continued use of our services after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using our services.
